Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Subscriber") and No Big Deal Home Solutions, a sole proprietorship owned and operated by Joe Deal, located in Cincinnati, Ohio ("NBD Pro," "we," "us," or "our"). They govern your access to and use of the NBD Pro software platform, websites, mobile experiences, and related services (collectively, the "Service").

By creating an account, clicking "I agree," starting a free trial, subscribing to a paid plan, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

1. The Service

NBD Pro is a software-as-a-service (SaaS) customer relationship management (CRM) and field-operations platform built for roofing and home-improvement contractors. Features may include a lead and sales pipeline, estimate and document builders, door-to-door (D2D) territory tracking, photo and inspection reporting, customer portals, team management, training content, and AI-assisted tools.

We are continually improving the Service. We may add, change, suspend, or remove features at any time. Where a change materially reduces core functionality of a paid plan, we will make reasonable efforts to notify active subscribers in advance.

2. Eligibility & Your Account

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business and professional use, not personal or household use.

• You agree to provide accurate, current, and complete information when you register and to keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
• You must notify us promptly at jd@nobigdealwithjoedeal.com if you suspect any unauthorized use of your account.
• Each individual user must have their own login. Where your plan includes team seats, you are responsible for the conduct of every user you invite.

3. Subscription Plans & Billing

NBD Pro is offered as a free tier and several paid subscription plans. Current plans and the features included in each are described on our pricing page. Plans and pricing as of the date of these Terms are summarized below:

The prices above are stated in U.S. dollars and are exclusive of any applicable taxes, which you are responsible for paying. The pricing page is the controlling source for current rates, included usage limits, and included team seats; if there is a conflict, the pricing page and the price shown at checkout govern.

Billing & Renewal

• Paid plans are billed monthly in advance through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
• Subscriptions automatically renew each billing cycle until cancelled.
• If you upgrade or downgrade mid-cycle, Stripe prorates the difference so you pay only for what you use.
• If a payment fails, we may retry the charge and may suspend or downgrade your account until payment is resolved.

Price Changes

We may change subscription prices from time to time. We will give active subscribers advance notice of any increase to a plan they are on, and changes will take effect on your next billing cycle. Your continued use after the change takes effect constitutes acceptance of the new price.

4. Free Trial

New subscribers may be offered a 14-day free trial of a paid tier. No credit card is required to start the trial.

5. Cancellation & Refunds

The Service is month-to-month with no long-term contract. You may cancel at any time from your account settings or by contacting us.

• When you cancel, your paid features remain active through the end of the billing period you have already paid for; your plan then ends or moves to the Free tier.
• Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or seats.
• Downgrading from a paid plan to the Free tier may make some data inaccessible if it exceeds Free-tier limits, but it is retained subject to Section 7 unless you delete it or your account is terminated.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree that you will not:

• Violate any applicable law or regulation, or infringe the rights of any third party.
• Use the Service's texting, calling, or email features to send communications without the recipient's required consent, or in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or similar laws. You are solely responsible for obtaining and documenting consent from the contacts you load into the Service.
• Upload or store content that is unlawful, defamatory, fraudulent, or that you do not have the right to use.
• Reverse engineer, decompile, scrape, copy, or create derivative works from the Service, except as permitted by law.
• Resell, sublicense, white-label, or provide the Service to third parties as a service bureau without our written permission.
• Introduce malware, attempt to gain unauthorized access to the Service or other accounts, or interfere with the Service's operation or security.
• Use the Service to build or train a competing product.

We may investigate suspected violations and may suspend or terminate accounts that violate this section.

7. Your Data & Ownership

You retain all ownership rights to the data you and your team enter into or upload to the Service, including your leads, customer records, photos, estimates, and documents ("Your Data"). We do not claim ownership of Your Data.

You grant us a limited, non-exclusive license to host, store, process, transmit, and display Your Data solely as needed to operate, maintain, secure, and improve the Service and to provide it to you. We do not sell Your Data. Our handling of personal information is described in our Privacy Policy.

• You are responsible for the accuracy, quality, and legality of Your Data and for having the rights and consents necessary to load it into the Service.
• You may export Your Data from the Service, or request an export by contacting us, while your account is active.
• After your account is terminated or cancelled, we will retain Your Data for a reasonable period to allow export, after which it may be deleted in the ordinary course, subject to legal retention requirements.

8. Our Intellectual Property & License to You

The Service, including its software, design, branding, logos, text, training and Academy materials, and all related intellectual property, is owned by No Big Deal Home Solutions (Joe Deal) and protected by law. "NBD Pro," "No Big Deal," and related marks are our trademarks.

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. All rights not expressly granted are reserved. You may not copy, modify, distribute, sell, or lease any part of the Service.

9. Third-Party Services

The Service relies on third-party providers to function, including (among others) Google Firebase for hosting and authentication, Stripe for payments, Anthropic for AI features, and Twilio and Resend for messaging. Your use of features powered by these providers may also be subject to their terms. We are not responsible for the acts, omissions, availability, or content of third-party services, and outages of those services are outside our control.

10. AI-Assisted Features

Some features use artificial intelligence to generate suggestions, drafts, property insights, and similar output. AI output is assistive only, may be inaccurate or incomplete, and does not constitute professional, legal, financial, or insurance advice. You are responsible for reviewing and verifying any AI-generated content before relying on it or sharing it with a customer.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that any defects will be corrected, or that the Service or any AI output will meet your requirements or produce any particular business result.

12. Limitation of Liability

To the fullest extent permitted by law, in no event will No Big Deal Home Solutions or Joe Deal be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Service, even if advised of the possibility of such damages.

13. Indemnification

You agree to defend, indemnify, and hold harmless No Big Deal Home Solutions and Joe Deal from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Data or your use of the Service; (b) your violation of these Terms or applicable law; or (c) your communications with your own customers or leads, including any claim under the TCPA, CAN-SPAM Act, or similar law.

14. Suspension & Termination

You may stop using and cancel the Service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay fees when due, use the Service in a way that risks harm to us or others, or as required by law.

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive. Data handling after termination is described in Section 7.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and, for material changes, make reasonable efforts to notify active subscribers. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

16. Governing Law & Disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. You and we agree that the exclusive venue for any dispute that is not subject to arbitration or small-claims court will be the state or federal courts located in Hamilton County, Ohio, and you consent to the personal jurisdiction of those courts.
